OJAILU TERMS AND CONDITIONS
- INTRODUCTION AND ACCEPTANCE
Welcome to Ojailu, a digital marketplace that connects buyers and sellers while leveraging
Artificial Intelligence (AI)-powered social media extraction and transformation. These
Terms and Conditions (hereinafter referred to as the “Terms”) establish a legally binding
agreement between you and Ojailu Online Company Ltd, including its subsidiaries,
affiliates, partners, and associated entities (collectively referred to as “Ojailu,” “we,” “us,”
or “our”). These Terms govern your access to and use of our digital marketplace platform.
1.1 Scope of Agreement
These Terms apply to your use of:
(a) The Ojailu website and all associated domains
(b) Ojailu mobile applications and software
(c) Our AI-powered listing, social media extraction and transformation services
(d) All features, functionalities, and services available through our platform
(e) Any content, material, or information accessed through our services
(collectively referred to as the “Platform” or “Services”).
1.2 Acceptance of Terms
By accessing or using Ojailu (“Platform”), you expressly acknowledge that:
(a) You have read, understood, and agree to be bound by these Terms
(b) You have the legal capacity to enter into this agreement
(c) If you represent a business entity, you have the authority to bind that entity to these
Terms
(d) You accept all obligations and responsibilities contained herein
If you do not accept these Terms, then do not access or use the Service.
1.3 Additional Policies and Terms
Your use of our Platform is also governed by:
(a) Our Privacy Policy, which explains how we collect, use, and protect your personal
information
(b) Our Cookie Policy, detailing our use of cookies and similar technologies
(c) Our Billing Policy, outlining payment terms and procedures
(d) Our Intellectual Property Infringement Policy, addressing intellectual property rights
and infringement
(e) Any additional terms specific to particular services or features
These policies are incorporated by reference into these Terms and constitute an integral
part of our legal agreement with you. By using this Platform, users also agree to comply
with the applicable Terms of Service of all integrated third-party platforms, including
YouTube, Meta (Facebook, Instagram, Threads), X (Twitter), TikTok, and Vimeo, for all
content that originates or interacts with these services.
1.4 Modifications to Terms
Ojailu may modify these Terms at our discretion to reflect:
(a) Changes in our Services or business operations
(b) Legal or regulatory requirements
(c) Security or technical requirements
(d) User experience improvements
We will notify users of material changes through:
(a) Platform notifications
(b) Updates to the “Effective Date” below
Your continued use of the Platform after such modifications constitutes acceptance of the
updated Terms. Rejection of modified terms means that all current listings must be
brought down.
2. PLATFORM OVERVIEW AND SERVICES
2.1 Core Platform Services
Ojailu operates an innovative digital marketplace that revolutionizes online commerce
through:
(a) AI-Powered Social Media Listing Aggregation which includes automated extraction of
listings from major social media platforms including Facebook, Instagram, X (Twitter),
Threads, TikTok, and Vimeo Intelligent consolidation of listings across multiple categories,
synchronization with source platforms and comprehensive coverage of diverse product
categories including properties, vehicles, electronics, and business equipment.
(b) Advanced Content Transformation which includes AI technology for listing
enhancement and standardization, automated improvement of listing presentation and
structure, intelligent categorization and tagging of listings, enhancement of visual
elements while preserving core information and standardization of pricing and product
specifications.
(c) Marketplace Functionality. This involves the user-friendly interface for browsing and
searching listings, secure communication channels between buyers and sellers, advanced
filtering and comparison tools, integrated promotion and visibility features and user rating
and feedback systems.
2.2 Platform Benefits
Our unique approach delivers several key advantages. Ojailu enhances selection by
aggregating listings from multiple platforms, covering diverse product and service
categories and providing access to marketplace content that was previously siloed. The
platform improves user experience through standardized listing formats that facilitate
easy comparison, enhanced visuals, structured information, and a streamlined search and
navigation process. Additionally, Ojailu offers efficiency and convenience by centralizing
marketplace access, reducing search time and effort through automated content
enhancement, and simplifying communication processes for users.
2.3 Service Availability
While we strive to maintain consistent Platform availability:
a) Services are provided on an “as available” basis
b) We may modify, suspend, or discontinue any aspect of the Platform
c) Technical maintenance or updates may cause temporary interruptions
d) Access may vary based on device, location, or network conditions
e) Premium features will have additional availability requirements
2.4. The Administrator itself is not an importer, manufacturer, distributor, or seller of any
item, nor a provider of any service posted by users on the Platform. The Administrator’s
role is limited to providing a platform for users to communicate and transact, extracting
and transforming listings from social media platforms, enhancing listing presentations
using AI technology and maintaining the Platform’s functionality and security.
2.5. Users shall be solely responsible for collecting and remitting any applicable taxes
resulting from the sale of their goods or services posted on the Platform.
2.6. The Administrator reserves the right to delete or block access to listings posted by
users without any notice in the event of receiving mandatory judgments from competent
public authorities, claims from intellectual property rights holders regarding infringement,
infringements of rights or legal interests of other users or third parties, violations of these
Terms or any applicable law, detection of prohibited items or fraudulent activity and
quality concerns with AI-enhanced listings.
2.7. The Administrator retains the right to implement any changes to the Service at any
time, without notice. This includes changes to free and paid features, AI enhancement
capabilities, listing extraction processes, Platform functionality and user interface.
2.8. Each user is solely responsible for their User Content. The Administrator does not
control User Content and makes no guarantees regarding its accuracy or quality. However,
Ojailu is committed to maintaining the integrity of the Platform and will make reasonable
efforts to verify listings and content where necessary. Your interactions with other users
are solely between you and such users.
2.9. Third Party Content
(a) The Platform may contain links to third-party websites, services, and advertisements.
Such Third-Party content is not under the Administrator’s control, and we are not
responsible for its accuracy or quality. You acknowledge sole responsibility for and assume
all risk arising from your use of any such online properties. When you link to third party
online properties, the applicable service provider’s terms and policies, including privacy
and data gathering practices, govern. You should make whatever investigation you feel
necessary or appropriate before proceeding with any transaction with any third party.
Your transactions and other dealings with Third-Party Ads that are found on or through
the Service, including payment and delivery of related goods or services, are solely
between you and such third party.
(b) You hereby release us, our officers, employees, agents, and successors from claims,
demands any and all losses from any transactions including but not limited to fraudulent
transactions, damages, rights, claims, and actions of any kind including personal injuries,
death, and property damage, that is either directly or indirectly related to or arises from
any interactions with or conduct of any Service users or any Third Party Ads.
3. USER ELIGIBILITY AND ACCOUNT REQUIREMENTS
3.1 Age and Capacity Requirements
Ojailu cares about the safety of our community. We understand that in the age of
technology, young people are increasingly active online and may be interested in items
listed on our platform. While we strive to create an accessible marketplace, we also
recognize the serious responsibilities involved with online transactions, especially those
involving properties, vehicles, and other high-value items. For safety and legal reasons, to
use our Platform, you must:
(a) Be at least 18 years of age
(b) Have the legal capacity to enter into binding contracts
(c) Not be prohibited from using our services under applicable laws
(d) Be able to form legally binding agreements
Minors (persons under 18 years) can only access the Platform:
(a) Through an account created and managed by a parent or legal guardian
(b) Under direct supervision of said parent or legal guardian
(c) With all transactions conducted by the responsible adult
(d) In compliance with all applicable age-related restrictions
3.2 Account Types and Registration
Our Platform offers two distinct account types:
Buyer Accounts require basic registration, including the submission of essential personal
information, verification of contact details, and agreement to the Platform’s terms and
policies. Buyers gain access to standard browsing and purchasing features. Seller
Accounts, on the other hand, involve enhanced verification requirements, including the
submission of government-issued identification and, where applicable, business
documentation. Sellers must also comply with additional security measures, granting them
access to listing and selling features.
3.3 Account Management and Security
You are responsible for ensuring the accuracy and security of your account. When creating
an account, you must provide accurate and complete registration information, maintain
up-to-date account details, use valid contact information, and comply with verification
requirements. To maintain account security, you must keep your password confidential,
restrict unauthorized access, monitor account activity, and report any unauthorized access
immediately. Implementing recommended security measures is essential to safeguarding
your account.
Account limitations apply to ensure compliance and security. Each user is permitted to
create only one account and must not transfer, sell, or share account access or credentials.
Additionally, users must comply with device verification requirements to maintain account
integrity.
3.4 Account Suspension and Termination
Ojailu reserves the right to suspend or terminate accounts that:
(a) Violate these Terms or associated policies
(b) We discover it is being operated by a minor
(c) Engage in fraudulent or suspicious activity
(d) Create multiple accounts
(e) Provide false or misleading information
(f) Pose risks to Platform security or integrity
(g) Remain inactive for extended periods (maximum of an 18 month period)
(h) Fail to comply with verification requirements
4. PLATFORM OPERATION, RESPONSIBILITIES, AND DISCLAIMERS
4.1 Role of Ojailu
Ojailu functions as a Technology Provider, offering AI-powered listing aggregation,
maintaining infrastructure, as well as providing communication tools and as a Service
Facilitator , connecting buyers and sellers, processing listings, and maintaining platform
standards.
4.2 Platform Limitations
(a) Users acknowledge that Ojailu does not take possession of listed items, verify item
quality or condition, guarantee transaction completion, ensure 100% seller reliability,
validate user claims, guarantee AI transformation accuracy, monitor all user
communications and verify all listing details.
(b) Ojailu cannot guarantee the availability of specific items, accuracy of extracted listings,
user behavior or reliability, transaction outcomes, content completeness, continuous
platform access and AI system perfection.
4.3 Content Moderation & Security
Ojailu employs AI-powered content analysis and human review for fraud detection, policy
compliance, and security enforcement.
4.4 Important Disclaimers
a) Ojailu does not own, sell, inspect, or guarantee any listings posted by users.
b) We are not responsible for the accuracy, legality, or safety of any items or services
listed.
c) All transactions occur solely between buyers and sellers; Ojailu is not a party to any
transaction.
d) Users are strongly encouraged to verify all listings and conduct due diligence
before making a purchase.
e) The Platform is provided “as is” without warranties of any kind.
f) You acknowledge that you are solely responsible for your safety and you
understand that you should meet with other individuals for completion of a
transaction only in safe public places in daylight hours. You are solely responsible
for conducting due diligence of any individual or organization requesting a meeting
to conduct a job interview or to complete a transaction. Administrator disclaims
any responsibility for user’s interaction with any individual or organization.
5. LISTING CREATION, ENHANCEMENT, AND POSTING OF ANNOUNCEMENTS
5.1. The Platform utilizes Artificial Intelligence (AI) technology to standardize and enhance
listings, ensuring a consistent and high-quality presentation. This process extracts listings
from authorized social media platforms such as Facebook, Instagram, X (Twitter),
Threads,TikTok, and Vimeo transforming them into structured formats while maintaining
the integrity of the original information.
5.2. The AI enhancement process includes automated extraction of product details,
intelligent reconstruction to improve clarity and completeness, standardization across
categories, enhancement of visual elements, categorization for better searchability, and
implementation of consistent formatting. Users posting listings, whether directly or
through social media extraction, must provide accurate information, including pricing,
descriptions, images, payment methods, delivery options, and relevant terms of sale.
5.3. For listings extracted from social media, users acknowledge that the original source
will be attributed, and while the AI enhancement process maintains accuracy, users must
verify their listings and may request corrections if necessary. The Administrator reserves
the right to modify enhancement algorithms and ensures all listings meet the same quality
standards, whether posted directly or extracted.
5.4. To uphold listing quality, the Administrator enforces strict control measures, including
automated scans for prohibited content, human review of flagged listings, assessment of
AI-enhanced content, verification of high-value items, and monitoring of seller response
times. Sellers must actively manage their listings by responding to inquiries within 24
hours, updating statuses when items are sold, maintaining accurate contact details,
addressing any identified quality issues, and ensuring listings accurately reflect current
offerings.
5.5. Users posting announcements about the sale of goods or services must provide
complete and precise details, including the exact price, which should be updated if subject
to change due to specific circumstances. The terms and conditions of sale set by users
must not conflict with these Terms or applicable laws. Upon request, users must provide
the Administrator with documents confirming the legitimacy of their postings and
verifying their identity.
5.6. Each listing may include a valid email address and a reachable phone number, where
messages can be sent via text or WhatsApp platforms. The number will not only receive
messages but also allow the user to answer calls promptly. Additionally, when uploading
videos or content through API services or linking social media accounts, users agree to be
bound by the respective platform’s Terms of Service, including but not limited to the
YouTube Terms of Service, Facebook Terms of Service, Instagram Terms of Use, Threads
Terms of Service, X (Twitter) Terms of Service, TikTok Terms of Service, and Vimeo Terms
of Service. By using Ojailu’s platform, users also acknowledge and agree to comply with
these external policies governing any extracted or linked content.
5.7. Ojailu uses a single YouTube API project (Project Number: 864899857639) in
accordance with YouTube’s developer policies. All data accessed through YouTube API
Services is used solely to display or enhance listings and is deleted in line with our Privacy
Policy.
6. PREMIUM SERVICES AND FEES
The Platform offers basic listing services at no cost but also provides a range of premium
services designed to enhance the visibility and effectiveness of listings. These services
include Boost Plans, Featured Listings, and Advanced AI Enhancement Features. Boost
Plans offer priority placement in search results, enhanced visibility within relevant
categories, extended listing durations, advanced analytics, and premium customer
support. Featured Listings provide homepage placement opportunities, category-specific
featured positions, special visual enhancements, and premium listing badges.
6.1. Premium Service Terms and Conditions
a) Premium services operate on a time-based model, with expiration periods ranging
from 7 to 30 days, depending on the selected package. Premium status is activated
immediately upon successful payment processing, and services cannot be
transferred between accounts or listings. Any unused premium features expire at
the end of the service period.
b) All fees for premium services are transparently disclosed before purchase, and
payments must be made through authorized providers. Premium features are
activated only after successful payment verification, and automatic renewals
require explicit user consent, with the option to cancel at any time.
c) Once activated, premium services are non-refundable. Technical issues affecting
service delivery may be compensated through an extended service duration.
Disputes related to premium services must be submitted through official support
channels, with resolution decisions made at the Administrator’s discretion.

d) The Administrator reserves the right to modify premium service offerings, including
adding new features, adjusting service durations, updating pricing structures,
discontinuing existing services, and introducing new service tiers. Additionally,
promotional offers such as time-limited discounts, special package deals, seasonal
promotions, loyalty rewards, and new user incentives may be introduced at the
Administrator’s discretion.
e) Your payments for the services are governed by the Billing Policy (hyperlink to the
billing policy)
7. USER REPRESENTATIONS AND WARRANTIE
By accessing and using the Service, you represent and warrant the following:
7.1. Legal Capacity and Age Requirements
You affirm and warrant that:
a) You have reached the age of eighteen (18) years or older
b) You possess the legal capacity to enter into binding agreements in your jurisdiction
c) If you are registering on behalf of a business entity, you have the authority to bind
that entity to these Terms
d) You understand that any use of the Platform by individuals under 18 years of age
must be conducted entirely through a parent or legal guardian’s account
e) You accept full responsibility for verifying and complying with all applicable laws
and regulations in your jurisdiction
7.2. Account Information and Security
You acknowledge and warrant that:
(a) All information provided during account registration and maintenance is
true, accurate, current, and complete
(b) You will promptly update any information that changes to maintain its
accuracy
(c) You are responsible for maintaining the confidentiality of your account
credentials
(d) You will immediately notify the Administrator of any unauthorized access
or security breaches
(e) You will not share, transfer, or sell your account credentials to any other
person or entity
(f) You understand that sharing account credentials constitutes a material
breach of these Terms
7.3. Listing and Transaction Integrity
You represent and warrant that:
a) All items and services you list are legal to sell under applicable laws
b) You possess the necessary rights, titles, and authorization to sell listed items
c) Your listings contain accurate, truthful, and non-misleading information
d) You will honor all commitments made through the Platform
e) You will maintain accurate inventory and pricing information
f) You will promptly communicate with other users regarding transactions
g) You will verify the accuracy of AI-enhanced listings derived from your social media
content
7.4. Prohibited Activities
You warrant that you will not:
(a) Create or promote fraudulent listings, transactions, or activities
(b) Manipulate the Platform’s AI enhancement system or attempt to
circumvent its processes
(c) Post content that infringes upon intellectual property rights or violates
privacy rights
(d) Engage in price manipulation or artificial inflation of market values
(e) Create multiple accounts for deceptive purposes
(f) Use the Platform for money laundering or other financial crimes
(g) Harass, threaten, or harm other users
(h) Attempt to reverse engineer the Platform’s technology
(i) Interfere with the proper functioning of the Service
8. INTELLECTUAL PROPERTY RIGHTS AND CONTENT OWNERSHIP
8.1. For enhanced content and platform technology, the Administrator retains exclusive
ownership of all AI enhancement technology and algorithms, the Platform’s software,
interface, and design elements, all databases and compiled user data, enhancement
processes and methodologies, platform branding, trademarks, and trade dress, derivative
works created through AI enhancement, analytics and performance metrics, platform
documentation and marketing materials
8.2. On user content license, by posting content on the Platform, you grant the
Administrator:
a) A worldwide, non-exclusive, royalty-free license to extract listings from your social
media accounts, transform and enhance your content using AI technology, display
your content across the Platform, create derivative works based on your content
and use your content for marketing and improvement of services.
b) The right to sublicense these rights to Third-party service providers, affiliated
companies, marketing partners and technology providers.
c) Permission to maintain archived copies of your content for Legal compliance,
quality assurance, platform improvement and dispute resolution.
8.3. On social media integration and rights, for content extracted from social media
platforms:
a) The Administrator will maintain appropriate attribution
b) Users must comply with original platforms’ terms of service
c) Enhanced listings respect original content ownership
d) Users may request removal of extracted content
8.4. Copyright Infringement and Enforcement, the Administrator maintains a
comprehensive copyright protection system:
a) Clear procedures for reporting intellectual property violations
b) Prompt investigation of infringement claims
c) Expedited removal of infringing content
d) Fair appeal process for disputed claims
e) Progressive discipline for repeat violators:
i. First violation: Warning and content removal
ii. Second violation: Temporary account suspension
iii. Third violation: Permanent account termination
9. LIMITATION OF LIABILITY AND INDEMNIFICATION
9.1. The Administrator shall not be liable for:
a) Any direct, indirect, incidental, special, consequential, or punitive damages arising
from use or inability to use the Service, AI-enhanced content accuracy or
completeness, transactions between users, third-party platform integrations and
service interruptions or modifications.
b) Any losses resulting from unauthorized account access, data loss or corruption,
communication failures, technical malfunction and user content or conduct.
9.2. Monetary Limitation
a) The maximum aggregate liability of the Administrator for all claims shall not exceed
the total subscription fees paid by the user in the preceding six months, or NGN 100,000,
whichever amount is less
b) This limitation applies to all causes of action in aggregate, all types of damages, all
claims related to service use
c) Exceptions to this limitation include gross negligence, willful misconduct, statutory
requirements
9.3. Indemnification Obligations
Users agree to indemnify and hold harmless the Administrator from:
a) All claims, damages, and expenses arising from violation of these Terms, violation of
third-party rights, illegal activities, misuse of the Service.
b) All costs associated with legal defense, settlement payments, administrative
expenses, investigation costs, any regulatory penalties or fines resulting from user actions.
9.4. Force Majeure
The Administrator shall not be liable for any failure or delay caused by natural disasters
or acts of God, war, terrorism, or civil unrest, government actions or regulations, network
or telecommunications failures, power outages or infrastructure disruptions, cyber attacks
or security breaches and other circumstances beyond reasonable control.
10. DISPUTE RESOLUTION AND GOVERNING LAW
10.1. Governing Law
These Terms shall be governed by and construed in accordance with:
a) The laws of the Federal Republic of Nigeria
b) Relevant regulatory frameworks governing E-commerce, consumer protection, data
privacy, intellectual property and online marketplace operations.
10.2. Arbitration Agreement
a) Any dispute arising out of or in connection with these Terms, shall be resolved
through binding arbitration in accordance with the Nigerian Arbitration and
Mediation Act 2023.
b) Arbitration proceedings commenced pursuant to this Clause shall be conducted by
a single Arbitrator jointly appointed by the Parties.
c) If the Parties fail to agree on an arbitrator or a party fails to respond within seven
(7) days after the request for arbitration has been delivered, the arbitrator shall be
nominated, at the request of any of the Parties by the Chairman of the Chartered
Institute of Arbitrators UK (Nigeria Branch).
d) The seat of arbitration shall be Lagos, Nigeria.
e) The language to be used in the arbitral proceedings shall be English.
f) Parties shall bear all costs of the Arbitration in equal proportions.
g) Virtual proceedings may be conducted when appropriate.
h) The arbitration process requires written notice of disputes, 30-day informal
resolution period, clear statement of claims, documentary evidence submission
and a fair hearing opportunity.
11. MISCELLANEOUS PROVISIONS
11.1 If any provision of these Terms is found to be invalid, unenforceable, or void for any
reason, that provision shall be removed without affecting the validity or enforceability of
the remaining terms.
11.2. OJAILU reserves the right to transfer or assign its rights and obligations under these
Terms to any third party, including through novation. By agreeing to these Terms, you
consent to any such transfer or assignment.
11.3. Failure by OJAILU to enforce any provision or take action against a breach of these
Terms does not waive its right to do so in the future for any other breaches.
11.4. The Administrator shall not be held liable for failure to comply with these Terms if
such failure is due to circumstances beyond its reasonable control.
12. OJAILU CONTEST RULES
12.1. In accordance with Nigerian tax regulations, OJAILU is required to apply withholding
tax to any contest winnings. As a result, the amount awarded may be subject to
deductions.
12.2. You acknowledge that you are responsible for any additional tax obligations beyond
the amount withheld by OJAILU, including federal, state, and municipal taxes that may
apply to your winnings.
The Administrator reserves the right to update these Terms at any time without prior notice.
Continued use of the Service constitutes acceptance of any modifications to these Terms.
